Terms of Service — TK Upload App

1) Acceptance of Terms

By accessing or using the TK Upload App (“App”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the App.

2) Service Description

The App enables authenticated users to upload up to five video files (mp4/mov, ≤50 MB each), manage captions/metadata, and publish or schedule posts to supported platforms (e.g., TikTok via TikTok for Developers’ Login Kit, Display API, Share Kit, and/or Content Posting API) within approved scopes and sandbox/production environments.

3) Eligibility & Accounts

You must be legally capable to form a binding contract.
Third-party login (e.g., TikTok) may be required; you are responsible for safeguarding your credentials and session tokens.
You must provide accurate information and keep it updated.

4) Acceptable Use

No unlawful, infringing, or deceptive content or activity.
No posting of content you do not own or lack rights to share.
No attempts to circumvent platform limits, quotas, or security.
No abuse of APIs, scraping, reverse engineering, or rate-limit evasion.

5) Content & Licenses

You retain rights to your content. You grant Tactify a worldwide, non-exclusive, royalty-free license to host, process, and transmit your content solely to provide the App. You represent and warrant that your content and posting destinations comply with all applicable laws and third-party terms (including TikTok terms and community guidelines).

6) Third-Party Services

The App relies on third-party services and APIs (e.g., TikTok). Their availability, features, and policies may change. Your use of those services is governed by their respective terms and policies.

7) Plans, Fees & Limits

We may offer free or paid plans with usage limits (file size, file count, posting frequency). Fees are non-refundable except where required by law. We may modify plan features or pricing upon notice.

8) Termination & Suspension

We may suspend or terminate access immediately for violations of these Terms or risk to the platform or third parties. You may stop using the App at any time; sections intended to survive (e.g., warranties, indemnities, limitations) remain in effect.

9) Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” We disclaim all warranties to the fullest extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation, nor delivery/approval by third-party platforms.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Tactify and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for any claim is limited to the amounts paid by you to use the App in the 3 months preceding the event giving rise to the claim.

11) Indemnification

You will defend, indemnify, and hold harmless Tactify from any claims arising from your content, your use of the App, or your violation of these Terms or third-party rights.

12) Changes

We may update these Terms. Material changes will be posted here with a new “Last updated” date. Continued use after changes means acceptance.

13) Governing Law & Disputes

These Terms are governed by applicable law at our principal place of business, without regard to conflict-of-laws rules. Exclusive venue and jurisdiction will lie in the courts located there, unless mandatory law provides otherwise.
